CHARTER
ARTICLE I – NAME
The name of this organization is the LAKE MONROE SAILING ASSOCIATION, INC., HEREIN hereafter referred to as LMSA or association
ARTICLE II – BURGEE
The Burgee of the association shall be a pointed flag having right angles to the luff and extending across the logo of the association.
ARTICLE III – OBJECT
The purpose of the LMSA is to provide and open organization for people interested in all aspects of sailing, specifically:
- Provide an organization for all persons interested in sailing, without any restrictions on membership
- Promote learning and improving sailing skills
- Promote learning and improving basic seamanship
- Promote water safety for sailors
- Promote family participations in sailing
- Promote open class racing
ARTICLE IV – MEMBERSHIP
*Any “person may become a member of the LMSA upon” expressing an interest in the purpose of LMSA, submitting a membership application and payment of annual dues
*A member’s minor child and spouse, or on other adult specified by the member, shall be accorded all privileges of membership; however, one membership is accorded to one vote.
*Any person in the above categories may vote for the member if the member so designates in writing.
*A member may be ejected from the LMSA by a petition containing signatures of four fifths of the total membership
*A member who has been ejected may not become a member for a period of one year following his/her ejection
ARTICLE V – DUES
The amount and payment schedule of dues for LMSA shall be recommended by the budget committee and voted on by the membership. Alternative recommendations for dues may come from the floor.
ARTICLE VI- OFFICERS
The offices of LMSA shall be a Commodore (or President), Vice Commodore (Vice-President), a Secretary, a Treasurer and a Reporter, to be elected by the membership as hereinafter provided.
ARTICLE VII- ELECTION OF OFFICERS
The membership shall elect all officers at the annual meeting. Officers’ shall be nominated from the floor at the monthly meeting prior to the annual meeting. All nominations shall be from the floor. Officers shall hold officer for a term of one year. The Commodore may serve no more than two consecutive terms.
ARTICLE VIII – DUTIES OF OFFICERS
- COMMODORE – The Commodore shall be the chief executive officer of LMSA. The Commodore shall preside at the annual meeting and the monthly meetings. The Commodore shall be an ex-offcio member of all committees and shall cast the tie breaking vote in committee if necessary. With the exception of standing committees provided for herein, the Commodore shall establish committees as necessary for the operation of the LMSA and shall appoint committee members. The Commodore shall authorize the expenditure of LMSA funds up to one hundred dollars. Any expenditure in excess of one hundred dollars must be approved by the membership. Any expenditure in excess of one hundred dollars which appear in the approved budget of LMSA will be considered to have been approved by the membership.
- VICE COMMODORE - The Vice Commodore shall assist the Commodore in the discharge of his/her duties, and in his/her absence, or in case of vacancy in the office of the Commodore, to act as Commodore.
- SECRETARY – It shall be the duty of the Secretary to:
- Have custody of the Associations Seal
- Have custody of all Associations trophies
- Keep the correct record of the proceeding of all meetings of the Association in books provided for that purpose
- Notify the Commodore monthly, and on or before the Annual meeting, of the number of members carried on the roll on the date of each such meeting, and to advise the Commodore during the year of any significant membership changes.
- Keep a correct list of the ownership, name, dimensions, type and rig, serial numbers, and handicaps of each yacht whose owner is a member of the Association. File all documents, records, communications and reports other than financial, connected with the business of the Association.
- Furnish each new member with a copy of the Association Charter and By-Laws
- Notify Association officers of special meetings as appropriate
- Cause the necessary books and papers to be conveyed to the place of meeting and to perform such other duties as may be prescribed by the by-laws
- Read the record of the proceedings from the previous meeting
TREASURER - It shall be the responsibility of the Treasurer to collect and receive all money due the Association, and make or have made, all disbursements, keeping correct account of the same in books provided for that purpose. The treasurer shall make a report at each regular meeting of all receipts and disbursements with a statement of all monies then in hand. The Treasurer shall have the custody of all the funds of the Association which shall be kept in such accounts as the Commodore deems appropriate. All payments in settlement of obligations, previously authorized by the Commodore or the membership, shall be made by check signed by the Treasurer and the Commodore or the Vice Commodore.
REPORTER- The reporter shall notify, in writing, local newspaper and other appropriate publications of the Associations events. This notification shall include a description of the event and other appropriate information about the event. The reporter shall be responsible for the Association Bulletin.
ARTICLE IX- COMMITTEES
- ACTIVITIES COMMITTEE – The Activities Committee shall be a standing Committee. The members of the activities committee shall be appointed by the Commodore. The activities committee chairman shall be elected by the members of the Activities Committee... The Activities Committee shall have at least four and not more than ten members. The Activities Committee shall have the authority to create subcommittees as necessary for the effective management of various events. The subcommittees created by the Actives Committee shall include as least one member of the Activities Committee and other members as deemed appropriate. Subcommittee’s members shall be appointed by the Activities Committee Chairman and subject to approval of the Activities Committee. The duties of the Activities Committee shall be to plan boating and other activities for members and guests.
ARTICLE X – RULES REGARDING YACHT RACES
1. The current rules of the I.R.C. (International Rating Certificate ) shall be applied in the absence of rules and regulations covered in the charter when and where the officers or committees of this association desire to apply such rules.
2. Association specific rules for club races: Any yacht which deliberately fails to avoid a collision shall be disqualified from any race in which the collision occurs. IF the Yacht which deliberately fails to avoid the collisions is the burdened vessel, only the burdened vessel shall be disqualified; otherwise, both vessels involved in the collision shall be disqualified. In addition, a breach of sportsmanship as per rule 75 of the U.S. Sailing rules and penalties may be assessed as per rule of the U.S. Sailing Association.
ARTICLE XI – ASSOCIATIONS BULLETIN
The Reporter shall cause to be published and mailed to each member monthly, a bulletin containing information concerning Association social and official actives, and such other matters of interest to members.
ARTICE XII – MEETINGS
Monthly meetings. There shall be monthly meetings of the LMSA. These monthly meetings shall be held as so announced by the Commodore of the Association.
There shall be an annual meeting of the LMSA. The annual meeting shall coincide with the monthly meeting of the month of January. The annual meeting shall be for the purpose of selecting officers, approving the annual budget, and any other annual official business of the LMSA.
ARTICLE XIV- GENERAL PROVISIONS
Suggestions or complaints of any nature shall be made in writing, signed by the member or members and addressed to the Commodore.
